IDUMOTA.COM VENDOR / SELLER AGREEMENT

This Vendor/Seller Agreement (“Agreement”) governs the participation of vendors and sellers (“Vendor”, “Seller”, “you”, or “your”) on Idumota.com (“Platform”), owned and operated by Azzur N Couth Limited (“Idumota”, “Company”, “we”, “us”, or “our”).
By registering as a Vendor on Idumota.com, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
1. Purpose of the Agreement
Idumota.com operates as a multi-vendor marketplace that enables independent vendors to market and sell products to customers through the Platform.
This Agreement establishes the rights, obligations, and responsibilities of vendors using the Platform.
2. Vendor Eligibility
To become a Vendor, you must:
- Be at least 18 years old.
- Have legal authority to operate a business.
- Provide accurate registration information.
- Provide valid identification documents when requested.
- Maintain a valid phone number and email address.
- Comply with all applicable Nigerian laws and regulations.
Idumota.com reserves the right to approve or reject any vendor application at its sole discretion.
3. Vendor Account Registration
The Vendor shall:
- Provide truthful and complete information.
- Maintain updated business details.
- Protect account login credentials.
- Accept responsibility for all activities conducted under the account.
The Vendor shall immediately notify Idumota.com of any unauthorized access or security breach.
4. Vendor Obligations
The Vendor agrees to:
- Sell only products legally permitted under Nigerian law.
- Deliver products matching the descriptions displayed on the Platform.
- Maintain adequate inventory levels.
- Fulfill orders promptly.
- Respond professionally to customer inquiries.
- Comply with Platform policies.
- Cooperate during investigations and dispute resolution processes.
5. Product Listings
Vendors are solely responsible for:
- Product titles
- Descriptions
- Images
- Pricing
- Specifications
- Availability
- Product accuracy
All listings must:
- Be truthful.
- Be current.
- Not mislead customers.
- Clearly disclose material product information.
The Platform may remove or edit listings that violate this Agreement.
6. Product Image Requirements
Vendors shall:
- Upload clear and accurate images.
- Use images that represent the actual product.
- Avoid misleading edits or enhancements.
- Own or have permission to use uploaded content.
The Platform may remove images that violate intellectual property rights or marketplace standards.
7. Prohibited Products
Vendors shall not list or sell:
- Counterfeit goods
- Stolen items
- Illegal substances
- Prohibited medicines
- Weapons prohibited by law
- Pornographic materials
- Fraudulent products
- Products infringing intellectual property rights
- Any item prohibited under Nigerian law
The Platform may immediately remove prohibited listings without notice.
8. Pricing Policy
Vendors are responsible for setting product prices.
Prices must:
- Be accurate.
- Include applicable charges where required.
- Not be misleading.
The Platform reserves the right to remove listings containing obvious pricing errors or deceptive pricing practices.
9. Orders and Fulfillment
Upon receiving an order, Vendors shall:
- Confirm availability.
- Prepare products for shipment.
- Meet fulfillment timelines established by the Platform.
- Ensure secure packaging.
Repeated order cancellations due to vendor fault may result in penalties.
10. Shipping Responsibilities
Vendors must:
- Package products appropriately.
- Ensure products are dispatched within required timelines.
- Provide shipment information when requested.
- Cooperate with logistics providers.
Failure to meet shipping standards may affect vendor performance ratings.
11. Returns and Store Credit Policy
Vendors agree to comply with the Idumota Marketplace Return & Store Credit Policy.
Where a return is approved due to:
- Wrong item supplied
- Defective item
- Damaged item
- Misrepresentation
the Vendor may bear associated return costs and marketplace deductions.
Vendors agree that approved customer refunds shall be issued as Store Credit in accordance with marketplace policy.
12. Vendor Performance Standards
The Platform may monitor:
- Order fulfillment rate
- Delivery success rate
- Customer complaints
- Return rates
- Product quality
- Customer ratings
Failure to maintain acceptable performance standards may result in corrective actions.
13. Vendor Fees and Commission
The Platform may charge:
- Sales commissions
- Listing fees
- Advertising fees
- Promotional fees
- Service charges
Applicable fees shall be communicated to Vendors and may be updated from time to time.
The Platform reserves the right to deduct applicable fees before remitting Vendor earnings.
14. Vendor Payments
Vendor earnings shall be paid according to the Platform’s payout schedule.
Payments may be withheld where:
- Orders are under dispute.
- Fraud investigations are ongoing.
- Returns remain unresolved.
- Account verification is incomplete.
The Platform may require Vendors to provide bank account details and verification documents before payment.
15. Intellectual Property
Vendors retain ownership of their trademarks, logos, and original content.
By uploading content to the Platform, Vendors grant Idumota.com a non-exclusive, royalty-free license to:
- Display products
- Market products
- Promote listings
- Use product images and descriptions for advertising and promotional purposes
16. Customer Data Protection
Vendors shall:
- Use customer information solely for fulfilling orders.
- Maintain confidentiality of customer data.
- Comply with applicable privacy laws.
- Not sell, disclose, or misuse customer information.
Violation may result in immediate suspension.
17. Fraud Prevention
The Platform may investigate:
- Fake orders
- Fraudulent listings
- Counterfeit products
- Manipulated reviews
- Suspicious transactions
Vendors agree to cooperate fully during investigations.
18. Suspension and Account Restrictions
The Platform may suspend or restrict a Vendor account for:
- Policy violations
- Excessive complaints
- Fraudulent conduct
- Counterfeit goods
- Repeated shipping failures
- Misleading listings
- Abuse of customers
Suspension may occur without prior notice where necessary to protect customers or the Platform.
19. Termination
Either party may terminate this Agreement.
Idumota.com may immediately terminate Vendor access where:
- Fraud is detected.
- Illegal activities occur.
- Material breaches of this Agreement are committed.
Termination does not remove outstanding financial obligations.
20. Indemnification
The Vendor agrees to indemnify and hold harmless Azzur N Couth Limited, its officers, employees, affiliates, agents, and partners from any claim, liability, loss, damage, cost, or expense arising from:
- Vendor products
- Product defects
- Intellectual property violations
- Regulatory violations
- Breach of this Agreement
21. Limitation of Liability
To the maximum extent permitted by law, Idumota.com shall not be liable for:
- Loss of profits
- Business interruption
- Indirect damages
- Customer disputes
- Vendor operational losses
The Platform’s total liability shall not exceed the fees received from the Vendor during the transaction giving rise to the claim.
22. Governing Law
This Agreement shall be governed by the laws of the Federal Republic of Nigeria.
23. Dispute Resolution
Any dispute arising from this Agreement shall first be resolved through good-faith negotiations.
Where negotiations fail, disputes shall be submitted to the competent courts located in Lagos State, Nigeria.
24. Amendments
The Platform may amend this Agreement from time to time.
Continued use of the Platform after updates are published constitutes acceptance of the revised Agreement.
