This Vendor Operations Schedule (“Schedule”) forms an integral part of the Idumota.com Vendor/Seller Agreement and governs the operational relationship between Idumota.com and all registered Vendors on the Platform.
Idumota.com is owned and operated by Azzur N Couth Limited.
By registering, listing products, or selling through the Platform, Vendors acknowledge and agree to comply with this Schedule.
The Platform reserves the right to amend this Schedule from time to time and will publish the latest version within the Vendor Dashboard and other designated communication channels.
1. MARKETPLACE PRICING STRUCTURE
Vendor Pricing Model
Idumota.com operates a marketplace pricing model where Vendors provide their preferred Vendor Price and the Platform determines the final customer-facing selling price.
The Vendor Price is the amount upon which Vendor earnings are calculated.
Marketplace Markup
The Platform applies a markup to Vendor Prices.
The minimum marketplace markup is:
30%
The Platform may apply higher markups based on:
- Product category
- Brand positioning
- Market demand
- Advertising costs
- Marketplace campaigns
- Seasonal pricing
- Operational expenses
- Competitive pricing strategy
The Platform retains sole discretion over the final selling price displayed to customers.
Illustrative Example
Vendor Price: ₦10,000
Minimum Marketplace Markup (30%): ₦3,000
Customer Selling Price: ₦13,000
Vendor Receives: ₦10,000
Platform Revenue: ₦3,000
Where a higher markup is applied, Vendor earnings remain based on the Vendor Price agreed at the time of sale.
Vendor Consent
By listing products on Idumota.com, Vendors acknowledge that:
- Idumota.com controls the final retail selling price.
- Idumota.com may apply markups exceeding 30%.
- Idumota.com may run promotions, discounts, and campaigns.
- Vendor payouts remain based on the Vendor Price at the time the order is placed.
2. PRICE CHANGE APPROVAL POLICY
Purpose
This policy promotes marketplace stability and customer confidence.
Automatic Price Adjustments
Vendors may increase prices by up to 15% within a 30-day period without prior approval.
Marketplace Review
Price increases between 15% and 30% within a 30-day period may be reviewed by the Platform.
Supporting information may be requested.
Marketplace Approval
Price increases exceeding 30% within a 30-day period require prior approval from Idumota.com.
The Platform reserves the right to approve, reject, or defer such requests.
Marketplace Authority
The Platform may:
- Monitor pricing activity.
- Investigate unusual pricing behavior.
- Freeze listings pending review.
- Restrict excessive price manipulation.
3. PRICE LOCK POLICY FOR CONFIRMED ORDERS
Once payment has been successfully received and an order has been confirmed:
- The transaction price becomes final.
- Vendors may not request additional payment.
- Vendors may not increase the agreed Vendor Price.
- Vendors may not cancel orders solely because market prices have increased.
The Vendor must fulfill the order at the Vendor Price accepted when the order was placed.
Violations may result in penalties, payout holds, suspension, or account termination.
4. VENDOR PAYOUT SCHEDULE
Vendor payouts are processed after:
- Successful delivery; and
- Expiration of the applicable return window.
Lagos Orders
Vendor payout eligibility begins:
24 Hours After Delivery
Orders Outside Lagos
Vendor payout eligibility begins:
48 Hours After Delivery
Payout Processing
Vendor payouts are processed:
Every Friday
Where Friday falls on a public holiday, payments may be processed on the next available business day.
Payment Method
Vendor earnings shall be paid via Nigerian bank transfer.
Vendors are responsible for maintaining accurate banking information.
5. ORDER PROCESSING REQUIREMENTS
To maintain marketplace standards, Vendors shall:
Acknowledge Orders
Within 12 hours of notification.
Prepare Orders
Within 24–48 hours after confirmation.
Maintain Inventory
Ensure accurate stock levels at all times.
Repeated failures may affect Vendor performance scores.
6. INVENTORY ACCURACY POLICY
Inventory Responsibility
Vendors are responsible for maintaining accurate inventory records.
Products listed on the Platform must be available for sale and immediate fulfillment.
Inventory Accuracy Standard
Minimum required inventory accuracy:
95%
Vendor Fault Cancellations
Orders cancelled because of:
- Stock shortages
- Inventory errors
- Unavailable products
- Failure to update stock
shall be classified as Vendor Fault Cancellations.
Cancellation Threshold
A Vendor Fault Cancellation Rate exceeding 5% of monthly orders may trigger review.
Enforcement Actions
The Platform may:
- Issue warnings
- Restrict listings
- Reduce product visibility
- Suspend accounts
- Permanently remove Vendors
for persistent inventory violations.
7. SHIPPING RESPONSIBILITIES
Vendors shall:
- Package products securely.
- Meet dispatch deadlines.
- Ensure products match descriptions.
- Cooperate with logistics providers.
- Deliver products in saleable condition.
Repeated shipping failures may affect Vendor ratings and marketplace standing.
8. RETURNS AND STORE CREDIT COMPLIANCE
All Vendors must comply with the Idumota Marketplace Return & Store Credit Policy.
Approved returns resulting from:
- Wrong item delivery
- Product defects
- Damaged products
- Product misrepresentation
may result in deductions from Vendor earnings and recovery of associated costs.
Where responsibility lies with the Vendor, return logistics costs may also be charged to the Vendor.
9. VENDOR PERFORMANCE STANDARDS
Minimum marketplace expectations include:

Vendor categories may include:
Bronze Vendor
Newly onboarded Vendors.
Silver Vendor
Consistently compliant Vendors.
Gold Vendor
High-performing Vendors.
Premium Vendor
Top-performing Vendors receiving additional promotional opportunities.
11. ADVERTISING & PROMOTIONAL PROGRAMS
The Platform may offer:
- Homepage promotions
- Category promotions
- Search result boosting
- Email campaigns
- Social media promotions
- Marketplace campaigns
Participation may be free, invitation-based, subsidized, or fee-based.
12. FEATURED LISTINGS
Vendors may purchase enhanced visibility opportunities including:
- Homepage Featured Products
- Category Spotlight Placement
- Search Priority Placement
- Campaign Spotlight Placement
Applicable fees shall be determined by the Platform and may change periodically.
13. FRAUD PREVENTION & MARKETPLACE INTEGRITY
The Platform may investigate:
- Counterfeit goods
- Fake orders
- Pricing abuse
- Review manipulation
- Identity fraud
- Suspicious activity
Vendors must cooperate fully with investigations.
Failure to cooperate may result in suspension.
14. VENDOR PENALTIES
Level 1 Violations
Examples:
- Slow response times
- Late processing
- Minor policy breaches
Possible Actions:
- Warning notices
- Performance monitoring
Level 2 Violations
Examples:
- Excessive cancellations
- Misleading listings
- Poor customer service
Possible Actions:
- Listing restrictions
- Reduced visibility
- Temporary payout holds
Level 3 Violations
Examples:
- Counterfeit products
- Fraud
- Customer deception
- Intellectual property violations
Possible Actions:
- Immediate suspension
- Permanent account termination
- Legal proceedings
15. ACCOUNT REVIEW & SUSPENSION
Vendor accounts may be reviewed where:
- Return rates exceed 15%.
- Complaint rates exceed acceptable thresholds.
- Fulfillment standards are repeatedly missed.
- Fraud indicators are detected.
The Platform may impose:
- Listing restrictions
- Payout holds
- Temporary suspension
- Permanent removal
where necessary to protect marketplace integrity.
16. MARKETPLACE PROMOTIONS
The Platform may conduct:
- Flash sales
- Holiday promotions
- New customer campaigns
- Coupon programs
- Category-specific promotions
Unless expressly agreed otherwise, Platform-funded promotions shall not reduce the Vendor Price payable to the Vendor.
17. PLATFORM AUTHORITY
Idumota.com reserves the right to:
- Modify markup structures.
- Adjust payout schedules.
- Revise performance standards.
- Introduce new Vendor tiers.
- Amend operational requirements.
- Introduce new marketplace programs.
Reasonable notice shall be provided where appropriate.
